1. Acceptance of Terms

By accessing, subscribing to, or using the services, products, or platforms of Saysri.ai Private Limited (“Saysri.ai,” “we,” “our,” “us”), you (“Customer,” “User,” “Client”) agree to be bound by these Terms of Service (“Agreement”).

If you are entering this Agreement on behalf of a business or entity, you represent that you have the authority to bind that entity.

2. Services

Saysri.ai provides:

  • AI-Powered Products for FinTech, HRTech, and enterprise automation

  • Custom Enterprise Solutions — from design to deployment

  • APIs and SaaS Platforms for automation, analytics, and compliance

  • We may enhance, modify, or discontinue services at any time with reasonable notice.

3. Service Level Agreement (SLA)

We commit to:

  • 99% uptime per calendar month, excluding scheduled maintenance and force majeure events

  • Response Times: Critical issues within 4 business hours; High severity within 8 business hours

  • Support Availability: Business hours IST, with enterprise support packages available

  • If we fail to meet SLA commitments, clients may receive service credits, not monetary refunds.

4. Client Obligations

Clients agree to:

  • Provide accurate information and necessary access for service delivery

  • Maintain confidentiality of login credentials

  • Ensure compliance with data protection laws when sharing customer or employee data

5. Data Ownership & Privacy
  • Client Data: Customers retain ownership of all data provided.

  • License to Process: Client grants Saysri.ai a limited, revocable license to process data solely for service delivery.

  • Confidentiality: Both parties agree to safeguard proprietary and sensitive information.

  • Compliance: We comply with Indian IT Act, 2000, GDPR (if applicable), and global enterprise data standards.

6. Intellectual Property
  • Saysri.ai IP: All software, algorithms, logos, and documentation remain our property.

  • Client IP: Client retains ownership of all business-specific content and data.

  • Restrictions: Clients may not reverse-engineer, resell, or replicate our technology.

7. Payments & Fees
  • Fees are defined in the signed Master Service Agreement (MSA) or Subscription Plan.

  • Invoices are due within 30 days of receipt unless otherwise agreed.

  • Late payments may result in service suspension and 1.5% monthly late fee.

8. Warranties & Disclaimers
  • We warrant that services will be delivered with reasonable skill and care.

  • We do not warrant uninterrupted, error-free service.

  • Except as expressly stated, services are provided “as-is.”

9. Limitation of Liability
  • Neither party is liable for indirect, incidental, or consequential damages.

  • Our total liability is capped at 12 months of fees paid by the client prior to the claim.

10. Indemnification

Clients agree to indemnify Saysri.ai against third-party claims arising from:

  • Misuse of services

  • Non-compliance with laws or regulations

  • Breach of client obligations (including data accuracy and legality)

    Saysri.ai indemnifies the client against third-party IP infringement claims related to our technology.

11. Compliance & Legal Use
  • Clients must not use services for unlawful, fraudulent, or malicious purposes.

  • In regulated industries (e.g., finance, HR), clients are responsible for ensuring compliance with sector-specific laws.

  • We may suspend accounts engaged in prohibited activities.

12. Termination
  • Either party may terminate with 30 days’ notice.

  • Immediate termination applies for:

  • Non-payment

  • Material breach of terms

  • Misuse of services

  • Post-termination, client data will be returned or deleted upon request within 30 days.

13. Force Majeure

Neither party shall be held liable for failure to perform obligations due to causes beyond reasonable control, including natural disasters, cyber-attacks, or government actions.

14. Governing Law & Jurisdiction

This Agreement is governed by the laws of India.

Exclusive jurisdiction lies with the courts of Tamil Nadu, India.

Disputes may first be resolved via arbitration under the Arbitration and Conciliation Act, 1996, in Chennai, India.

15. Amendments

Saysri.ai reserves the right to update these Terms. Changes will be effective upon posting or official notification to clients.
